Skydance Paramount Warner Bros. Merger: Close Date & SKYD

David Ellison announced on Oct. 2 that the combined Paramount and Warner Bros. Discovery will operate under the name Skydance, with shares trading under the ticker SKYD. The deal is expected to close Oct. 6. The "Discovery" name, which has been attached to Warner Bros.' parent company since 2022, is being dropped.

Why the deal can close now

On Sept. 30, U.S. District Judge Araceli Martínez-Olguín approved a settlement between the companies and 12 state attorneys general who had challenged the merger. The settlement includes commitments on film output and about $1.5 billion in added U.S. production spending. Details of the film-output commitment, including the annual number of releases, were not available in the sources we could verify.

Leadership changes

Warner Bros. film chiefs Mike De Luca and Pam Abdy are leaving. Paramount's Dana Goldberg and Josh Greenstein will oversee the combined studios, and HBO chief Casey Bloys will lead streaming.

For Hollywood, the De Luca and Abdy exit is the most closely watched part of the announcement. The pair had led Warner Bros. film for several years, and their departure ends one of the longer-running executive partnerships on the lot.

The balance sheet

The combined company carries roughly $80 billion in debt, according to reports. About 38.5% of the financing reportedly comes from Middle Eastern funds. That share is likely to draw scrutiny in Washington and from rivals, since it concerns how much of a major American media company's capital comes from foreign governments' investment vehicles. The terms of any governance rights attached to that money have not been made public in the sources we reviewed.

News independence

As part of the settlement, the companies agreed to an independence board overseeing CBS News and CNN. The board is intended to insulate editorial decisions from ownership, a concern that has followed consolidation in American media for years. How much authority the board will have over hiring, coverage and budgets has not been spelled out in the reporting available to us. Whether it works as promised will be tested by CNN and CBS News coverage of the owner's own business and political interests, and by who the board's members turn out to be.

What to watch

The closing on Oct. 6 will come with the first trading under SKYD. Investors will look at how the company intends to service its debt while delivering the film and production commitments in the settlement. Creators and unions will look at consolidation of film output under two studio chiefs instead of four. And the news divisions will be measured on whether the independence board is more than a structure on paper.

For Korean audiences, the combined group controls major global distribution for film and streaming, including a streaming business led by Bloys. The deal's effect on licensing and co-production with Korean studios has not been addressed publicly.
